Terms of Service

Agreement
These Terms of Service ("Terms") are a legal agreement between you and DraftCounsel LLC, a Washington State limited liability company ("DraftCounsel," "we," "us," or "our"), located at 7318 N 23rd Street, Tacoma, WA 98406.
By creating an account or using DraftCounsel, you agree to these Terms. If you are using DraftCounsel on behalf of a law firm or other organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use DraftCounsel.
What DraftCounsel does
DraftCounsel is a legal document drafting platform. It allows you to upload Word document templates and matter source documents, extract relevant facts using AI, review and confirm extracted values, and generate a formatted Word document for attorney review.
DraftCounsel is a drafting workflow tool. It is not a law firm, does not provide legal advice, and does not practice law. All generated documents must be reviewed by a licensed attorney before use.
Accounts
You must create an account to use DraftCounsel. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must provide accurate information when creating your account. You may not share your account with others or allow others to access the platform using your credentials.
You must be at least 18 years old to use DraftCounsel.
Acceptable use
You agree to use DraftCounsel only for lawful purposes and in accordance with these Terms. You agree not to:
- Use DraftCounsel to draft documents for fraudulent, deceptive, or illegal purposes
- Upload documents you do not have the right to use
- Attempt to reverse engineer, scrape, or extract data from the platform
- Interfere with or disrupt the platform or its infrastructure
- Use DraftCounsel to violate any applicable law or professional conduct rule
- Resell or sublicense access to DraftCounsel without our written permission
Your content
You retain all rights to the documents, templates, and content you upload to DraftCounsel. By uploading content, you grant DraftCounsel a limited license to process that content solely for the purpose of providing the drafting service to you.
You are responsible for ensuring you have the right to upload and process the documents you submit. DraftCounsel is not responsible for content you upload.
Your content is not used to train AI models. See our Privacy Policy for details on how your documents are handled.
No legal advice
DraftCounsel is a software tool. Nothing produced by DraftCounsel constitutes legal advice, legal representation, or the practice of law. The platform does not create an attorney-client relationship between you and DraftCounsel.
All documents generated by DraftCounsel must be reviewed and approved by a licensed attorney before being filed, sent, or relied upon. You are solely responsible for the accuracy, completeness, and legal sufficiency of any document produced using DraftCounsel.
Subscription and payment
DraftCounsel offers paid subscription plans billed monthly. Pricing is described on our pricing page. By subscribing, you authorize DraftCounsel to charge your payment method on a recurring basis until you cancel.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not offer refunds for partial months except where required by law.
We reserve the right to change our pricing with 30 days' notice to active subscribers.
Intellectual property
DraftCounsel and its underlying technology, design, and software are owned by DraftCounsel LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform as described here.
Disclaimer of warranties
DraftCounsel is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be error-free, uninterrupted, or that generated documents will be accurate or complete.
AI-assisted drafting may produce errors, omissions, or inaccuracies. You are responsible for reviewing all output before use.
Limitation of liability
To the maximum extent permitted by law, DraftCounsel LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to errors in generated documents, loss of data, or malpractice claims.
Our total liability to you for any claim arising out of these Terms or your use of DraftCounsel shall not exceed the amount you paid us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless DraftCounsel LLC and its members, officers, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your content, or your violation of these Terms.
Termination
We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users, the platform, or third parties. We will provide notice where reasonably practicable.
You may close your account at any time by contacting us at rio@draftcounsel.com.
Governing law
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Pierce County, Washington, and you consent to personal jurisdiction in those courts.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the application at least 14 days before the changes take effect. Continued use of DraftCounsel after that date constitutes acceptance of the updated Terms.
